Easing the M&A deal: Bill would reduce fees

A recent bill introduced in the U.S. House may make the sale of private enterprises cheaper for business owners and easier for merger and acquisition brokers. The Small Business Mergers, Acquisitions, Sales and Brokerage Simplification Act of 2013, introduced June 6 by Rep. Bill Huizenga, R-Zeeland, calls for streamlined registration requirements for the licensure of brokering deals -- a move local M&A advisers and lawyers say is going to better the business of selling private companies. 

The Securities and Exchange Act of 1934 regulates the U.S. financial markets and securities transactions in broad terms. Designed to protect passive investors, the law also encompasses the brokerage of M&A deals. Today, brokering the sale or transfer of a company's ownership, in contrast to the company's assets, is regulated regardless of size of the company and whether it is publicly traded or private, said Shane Hansen, partner at Warner Norcross & Judd LLP, who testified in June on the bill before the House Capital Markets subcommittee.
